1. Interpretation

1.1 Headings are for convenience only and do not affect interpretation. A reference to a month is a calendar month. A business day is a day other than a Saturday, Sunday or public holiday in Victoria.

1.2 Where this lease requires the landlord's consent, the landlord may give or refuse that consent in its absolute discretion unless this lease states otherwise, and may impose reasonable conditions.

2. Grant of lease

2.1 The landlord leases the premises to the tenant for the term, starting on the commencement date, on the terms of this lease.

3. Option for a further term

3.1 The tenant may extend the lease for the further term by written notice given within the option exercise window, provided that at the time of the notice and at the end of the term the tenant has not been in breach of this lease that was notified in writing and not remedied.

3.2 A notice given outside the option exercise window is of no effect. Time is of the essence of this clause.

3.3 The further term is on the same terms as this lease, except that there is no further option and the base rent for its first year is determined under clause 5.3.

4. Rent and payments

4.1 The tenant must pay the base rent without deduction or set-off, by electronic transfer to the account the landlord nominates.

4.2 During the rent-free period no base rent is payable, but outgoings, car parking charges and all other amounts remain payable from the commencement date.

4.3 If the tenant fails to pay any money within seven (7) days of its due date, the tenant must pay interest on the unpaid amount at 8 per cent per year, calculated daily, from the due date until payment.

5. Rent review

5.1 The base rent is reviewed on each review date shown in item 6.

5.2 CPI review. The base rent from a CPI review date is the base rent payable immediately before that date multiplied by the CPI for the quarter ending immediately before the review date and divided by the CPI for the quarter ending twelve months earlier. The base rent will not decrease on a CPI review.

5.3 Market review. The base rent for the first year of the further term is the current market rent for the premises, agreed between the parties or, failing agreement within thirty (30) days of the landlord's notice, determined by a valuer appointed at the request of either party by the President of the Australian Property Institute (Victorian Division). The valuer's costs are shared equally. The base rent will not fall below the base rent payable immediately before the review date.

6. Outgoings

6.1 The tenant must pay the tenant's proportion of outgoings for each year, by monthly instalments of the landlord's estimate.

6.2 Outgoings include council and water rates, land tax calculated on a single holding basis, building insurance premiums, owners corporation fees, cleaning and maintenance of common areas, security, fire services, air-conditioning servicing and the landlord's reasonable management fee.

6.3 Within four (4) months after the end of each financial year the landlord must give the tenant a statement of actual outgoings. Any shortfall is payable within fourteen (14) days of the statement, and any overpayment is credited against the next instalments.

7. Use

7.1 The tenant must use the premises only for the permitted use.

7.2 The tenant may access the premises at any time. The landlord is not required to supply air-conditioning outside 7.00 am to 7.00 pm on business days. After-hours air-conditioning is available on request at the landlord's then current hourly rate, presently $38 per hour.

8. Repairs and maintenance

8.1 The tenant must keep the interior of the premises, including floor coverings, internal walls, lighting, doors, locks and the tenant's fixtures, in good repair, having regard to their condition at the commencement date, except for fair wear and tear and structural repairs.

8.2 The tenant must repaint the interior of the premises in the final six (6) months of the term (or any earlier ending of this lease) in colours approved by the landlord.

8.3 The landlord is responsible for structural repairs and for maintaining the building's essential services, except where the repair is needed because of the tenant's act, negligence or particular use.

9. Alterations and fitout

9.1 The tenant must not make any alteration to the premises without the landlord's prior written consent.

9.2 The tenant must submit plans and specifications for its initial fitout to the landlord before starting work, and carry out the fitout in a proper and workmanlike manner by licensed tradespeople.

9.3 The tenant must pay the landlord's reasonable costs of reviewing plans, up to $1,500 plus GST.

9.4 Fitout contribution. The landlord will contribute up to the amount in item 12 towards the tenant's initial fitout if: (a) the fitout is completed by 31 May 2027; (b) the tenant gives the landlord tax invoices for the work; and (c) the tenant is not in breach of this lease. The contribution is paid within thirty (30) days of the last of these conditions being met. If this lease ends within the first three (3) years of the term because of the tenant's default, the tenant must repay the contribution in full.

10. Make good

10.1 At the end of the lease the tenant must, at its cost: (a) remove its fixtures, fittings, signage, cabling and the initial fitout; (b) repair any damage caused by that removal; (c) restore the premises to the base building condition shown in the condition report attached to this lease; and (d) return all keys and access cards.

10.2 If the tenant does not make good, the landlord may do so and recover its costs from the tenant as a debt.

11. Assignment and subletting

11.1 The tenant must not assign this lease, sublet or part with possession of the premises without the landlord's prior written consent, which must not be unreasonably withheld for a proposed assignee of good financial standing able to carry on the permitted use.

11.2 A change in the control of the tenant is treated as an assignment.

12. Insurance and indemnity

12.1 The tenant must hold public liability insurance for at least the amount in item 13, insurance of its fixtures, fittings and stock for their full replacement value, and plate glass insurance, and must give the landlord a certificate of currency each year on request.

12.2 The tenant releases the landlord from, and indemnifies it against, claims arising from the tenant's use of the premises, except to the extent caused by the landlord's negligence.

13. Security

13.1 The tenant must give the landlord the bank guarantee in item 8 before the commencement date. The landlord may call on it if the tenant breaches this lease.

13.2 The tenant must increase the bank guarantee within fourteen (14) days of each rent review so that it remains equal to three (3) months' base rent plus GST.

13.3 The landlord must return the bank guarantee within sixty (60) days after the tenant has complied with its obligations at the end of this lease.

14. Redevelopment

14.1 If the landlord intends to demolish or substantially redevelop the building, it may end this lease by giving the tenant not less than six (6) months' written notice, but no such notice may take effect before 1 March 2029.

14.2 No compensation is payable to the tenant if the landlord ends this lease under clause 14.1, except a refund of any rent paid in advance for a period after the lease ends.

15. Default

15.1 The landlord may re-enter the premises and end this lease if the rent is unpaid for fourteen (14) days after its due date, or if the tenant breaches any other term and does not remedy the breach within fourteen (14) days of written notice requiring it to do so.

16. Holding over

16.1 If the tenant remains in occupation after the end of the term with the landlord's consent, it does so as a monthly tenant at a rent 10 per cent higher than the base rent payable immediately before the end of the term, and either party may end the monthly tenancy by one (1) month's notice.

17. Costs

17.1 Each party pays its own legal costs of negotiating and signing this lease. The tenant pays any registration fees and the landlord's reasonable costs of any consent the tenant requests.

18. Guarantee

18.1 The guarantor guarantees the tenant's performance of this lease, including during any further term or holding over, and indemnifies the landlord against any loss arising from the tenant's default.

19. Notices

19.1 Notices must be in writing and delivered by hand, prepaid post or email to the address last notified. A notice sent by email is taken to be received when sent, unless the sender receives an automated message that it was not delivered.

The landlord must pay the fitout contribution within 30 days of the last condition in clause 9.4 being met — clause 9.4.

FP3 · Questions before signingQwen3.8-27B
Checked by Brightwork · 2 corrections
  • Several questions are already answered in the lease: the option window dates and conditions (item 4, clause 3.1), rent-free invoicing (clause 4.2), the outgoings statement (clause 6.3), topping up the guarantee after each review (clause 13.2), after-hours air-conditioning (clause 7.2) and the notice rules (clause 19.1).
  • 1 March 2029 is the earliest date a redevelopment notice can take effect (clause 14.1), not the date the landlord can first give one. Notice can arrive earlier.

Before signing, ask the landlord or our lawyer for written answers. Our lawyer should also check the final wording. One item is missing from the material: the base building condition report referred to in clause 10.1(c) is not included, so we should ask for it.

Term and option

  • Can the landlord confirm the exact calendar dates of the option exercise window under item 4 and clause 3.2?
  • Is the option under clause 3.1 a tenant right rather than a matter of landlord consent, and is the only condition that the tenant has no notified unremedied breach at the time of notice and at the end of the term?

Rent and reviews

  • Will the invoices show zero base rent for the first two months under item 11 and clause 4.2, and will outgoings and car parking still be charged from the commencement date?
  • Which CPI source will be used for the annual review under item 6 and clause 5.2, and how will the no-decrease rule be applied?
  • If we cannot agree market rent for the first year of the further term, will the landlord give us its valuation basis before the valuer process under clause 5.3 begins?

Outgoings

  • Can we see the schedule supporting the current $9,200 estimate under item 7 and clause 6.1?
  • What does the “reasonable management fee” include under clause 6.2, and is there a cap?
  • Will the landlord provide the actual outgoings statement within four months after the end of the financial year and process shortfalls and overpayments as required by clause 6.3?

Security and guarantee

  • Will the landlord confirm the form and due date of the bank guarantee under item 8 and clause 13.1, and confirm its return within 60 days after the tenant has complied at the end under clause 13.3?
  • Will the bank guarantee be increased after every rent review under clause 13.2, and will the guarantor be released at the end under clause 18.1?

Use, fitout and make good

  • Does the permitted use under item 9 and clause 7.1 allow client visits, contractors and professional office equipment, and is after-hours air-conditioning under clause 7.2 always available on request?
  • Can we agree a realistic fitout completion date under clause 9.4(a), and what happens to the item 12 contribution if the fitout is not completed by 31 May 2027?
  • Can the landlord provide the base building condition report under clause 10.1(c), and confirm how the make-good and repaint requirements in clauses 8.2 and 10.1 will be managed?

Redevelopment and default

  • Can we discuss a longer notice period before the redevelopment notice under clause 14.1 becomes exercisable on 1 March 2029, given no compensation is payable under clause 14.2?
  • Are the 7-day interest and 14-day default periods under clauses 4.3 and 15.1 the only late payment consequences, and will the 10% holding-over rent under clause 16.1 remain fixed for the holding-over period?

Costs and notices

  • What registration fees are expected under clause 17.1, and will the landlord confirm the notice delivery rules in clause 19.1?
